1. This agreement
These terms govern use of the Atomic Vector platform and of vector.atomiccapital.in. They form an agreement between Atomic Capital ("we", "us") and the company whose workspace is being used ("you", "the brand"). By accessing Vector, you accept these terms on behalf of your company and confirm you are authorised to do so.
Our Privacy Policy forms part of this agreement.
2. Who can use Vector
Vector is provided to companies in the Atomic Capital portfolio and to others we invite in writing. It is not a publicly available product, it is not offered for sale, and access is at our discretion. If your company ceases to be a portfolio company, we may withdraw access on reasonable notice.
3. Your workspace and team
Your brand works in its own workspace. Your creators, codes, orders, commission terms and team members are visible only to your workspace and to the Atomic Capital personnel who operate and support the platform.
- You decide who on your team has access, and you tell us promptly when someone leaves.
- You are responsible for what happens under your team's logins, including keeping credentials secure.
- Payout approvals must be made by a person you have authorised for that purpose. Vector requires a second approver on payouts by default, and you should not disable that without good reason.
4. Connected services
Vector works by connecting to services you already use — your online store, a WhatsApp messaging provider, and Instagram. You authorise those connections, and you must have the right to do so.
- Your use of each connected service remains governed by that service's own terms, which you are responsible for complying with.
- We are not responsible for a connected service changing, restricting or withdrawing its functionality. If that happens we will tell you and adapt where we reasonably can.
- You must keep connections current. An expired credential will stop the associated part of Vector working, and we will surface that to you as a task.
5. Instagram and Meta
Where you connect an Instagram professional account, Vector uses Meta's platform on your behalf to help you search the Instagram Creator Marketplace. In doing so:
- Our access is read-only. Vector does not post, comment, message, follow or change anything on your account or any creator's account.
- Your use of that connection is subject to the Meta Platform Terms, the Meta Developer Policies and Instagram's terms, in addition to these terms. Where they conflict with these terms in relation to Meta data, they take precedence.
- You must not use information obtained through Vector from Meta for any purpose other than evaluating and approaching creators for your own brand. In particular you must not resell it, share it with other companies, or use it for advertising targeting.
- You may disconnect at any time from your workspace or from your Facebook or Instagram settings. Doing so stops retrieval immediately and triggers deletion as set out in our Privacy Policy.
Instagram and Meta are trademarks of Meta Platforms, Inc. Atomic Vector is an independent platform and is not affiliated with, sponsored by, or endorsed by Meta.
6. Your relationship with creators
The agreement with a creator is yours, not ours. Vector helps you find creators, issue codes and calculate what is owed. It does not make us a party to your arrangement with any creator, and it does not make us their employer, agent or payer.
- You set the commercial terms, and you are responsible for honouring them.
- You are responsible for the accuracy and legality of what you ask creators to say about your products, including disclosure of paid partnerships and any advertising or consumer-protection rules that apply.
- You must not engage creators under 18 through the platform.
- You must obtain a creator's consent before contacting them, and honour any request to stop.
- You are responsible for paying creators what they have earned, and for any tax withholding that applies.
7. Acceptable use
You must not use Vector to:
- send unsolicited bulk messages, or contact anyone who has asked not to be contacted;
- scrape, bulk-export or resell creator information, or build a competing dataset;
- misrepresent who you are or what you are offering;
- promote unlawful, unsafe, misleading or age-restricted products in breach of applicable law;
- attempt to access another brand's workspace, or probe, scan or interfere with the platform's security;
- reverse engineer the platform or use automated means to access it beyond ordinary use;
- breach the terms of any connected service, or any applicable law.
8. Your data
Your creators, codes, orders, commission records and team information remain yours. We process them to run the platform for you and as described in our Privacy Policy.
- You can ask for an export of your workspace data at any time, and we will provide it in a common format within 30 days.
- We may use aggregated and anonymised information — statistics that cannot identify you, your creators or your customers — to improve the platform and to report at portfolio level.
- You warrant that you have the right to provide any personal information you enter into Vector.
9. Availability and support
We aim to keep Vector available and to fix problems promptly, and the Atomic Capital platform team supports you directly. We do not commit to a specific uptime guarantee. We may carry out maintenance, and will give notice of planned downtime where we reasonably can. Features may change, and we may withdraw features on reasonable notice.
10. Fees
Vector is provided to portfolio brands as part of Atomic Capital's operating support. We do not charge a licence fee for it unless separately agreed with you in writing. You remain responsible for your own costs with connected services, and for the commission you pay creators.
11. Intellectual property
The platform, its software, design and documentation belong to Atomic Capital. These terms grant you a limited, non-exclusive, non-transferable right to use Vector for your own creator programme while you have access, and nothing more. Your brand name, logo and content remain yours; you grant us permission to display them within the platform so it can operate.
12. Disclaimers
Vector is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties of any kind, express or implied, including as to merchantability, fitness for a particular purpose or non-infringement.
In particular, we do not warrant that creator information obtained from third-party sources is accurate, complete or current, that any creator will perform, or that any programme will produce a given commercial result. Attribution figures are derived from discount codes recorded against orders in your store, and depend on that store reporting accurately.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, however caused.
Our total aggregate liability arising out of or in connection with this agreement is limited to ₹5,00,000 (five lakh rupees). Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
You will indemnify us against claims arising from your creator arrangements, your marketing claims, or your breach of these terms or of a connected service's terms.
14. Suspension and termination
You may stop using Vector at any time and ask us to close your workspace. We may suspend or terminate access if you materially breach these terms, if a connected service requires it, if we are required to by law, or if your company ceases to be part of the portfolio. Where circumstances allow, we will give notice and an opportunity to put things right.
On termination we will make your data available for export for 30 days, then delete it in accordance with our retention schedule. Sections 8, 11, 12, 13 and 15 survive termination.
15. Governing law
These terms are governed by the laws of India. The courts of Mumbai, Maharashtra have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court. Before starting proceedings, both parties will attempt in good faith to resolve the dispute through discussion between senior representatives.
16. Changes to these terms
We may update these terms. If a change materially affects your rights, we will give at least 30 days' notice through the platform or by email. Continuing to use Vector after a change takes effect means you accept it.
